Terms of Service

1. Acceptance of Terms

By creating an account on Pangisa, accessing the platform, or using any of its features, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the platform.

These Terms constitute a legally binding agreement between you ("Landlord", "you", or "your") and Pangisa ("we", "us", or "our"), operated from Kampala, Uganda. Use of the platform is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

These Terms are governed by and interpreted in accordance with the laws of Uganda, including the Electronic Transactions Act, 2011, the Computer Misuse Act, 2011, and the Data Protection and Privacy Act, 2019.

2. Description of Service

Pangisa is a cloud-based property management platform designed for landlords operating in Uganda and the wider East African region. The platform provides tools for:

• Tracking rental units, tenancies, and rent payments
• Managing tenant information and leases
• Recording property expenses and generating income reports
• Issuing and verifying digital receipts
• Generating AI-assisted demand letters (paid plans)
• Preparing Uganda Revenue Authority (URA)-compatible income summaries (Growth plan and above)
• Providing tenants with a self-service portal via a private link

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice where practicable.

3. Eligibility

To use Pangisa you must:

• Be at least 18 years of age;
• Be legally entitled to manage or collect rent from the properties you register on the platform;
• Provide accurate identity information during registration, including a valid National Identification Number (NIN) or passport number as required; and
• Not be prohibited from using the service under the laws of Uganda or any other applicable jurisdiction.

By registering, you represent and warrant that you meet all of the above requirements.

4. Account Registration

You must register for an account to access most features of Pangisa. When registering you agree to provide complete, accurate, and current information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@pangisa.com if you suspect unauthorised access to your account.

Each account is for a single landlord. You may not share your account with third parties or create accounts on behalf of others without their knowledge and consent.

5. Subscriptions and Billing

Free plan. The Free plan is available at no cost and supports up to 5 rental units. It has no time limit and requires no payment method.

Paid plans. Starter, Growth, and Business plans are billed monthly in Uganda Shillings (UGX) via Pesapal. Prices are displayed on the Pricing page and are inclusive of any applicable taxes unless stated otherwise.

Billing cycle. Subscriptions renew automatically each month on your billing date. You will receive a receipt for every payment made.

Grace period. If a payment fails or is not received, your account enters a 7-day grace period during which full access is maintained. If payment is not settled within the grace period, your account may be suspended. All your data is retained during suspension and is fully restored upon reinstatement.

Upgrades and downgrades. You may change your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle.

No refunds. Payments already made are non-refundable except where required by Ugandan consumer protection law or where we determine, at our discretion, that a refund is appropriate.

6. Acceptable Use

You agree not to use Pangisa to:

• Register properties or tenants that do not exist or that you have no legal right to manage;
• Process, store, or transmit any content that is unlawful, fraudulent, or defamatory;
• Harass, threaten, or discriminate against tenants on the basis of religion, tribe, gender, disability, or any other protected characteristic under Ugandan law;
• Attempt to gain unauthorised access to any other user's account or to our systems;
• Introduce viruses, malware, or any other harmful code;
• Scrape, copy, or reverse-engineer any part of the platform; or
• Use the platform for any purpose that violates the Computer Misuse Act, 2011 or any other applicable Ugandan legislation.

We reserve the right to suspend or terminate any account found to be in breach of this section.

7. Tenant Data and Your Responsibilities

When you enter tenant information into Pangisa — including names, contact details, identification numbers, and payment records — you do so as the data controller for that information. Pangisa acts as a data processor on your behalf, in accordance with the Data Protection and Privacy Act, 2019.

You are responsible for:

• Ensuring you have a lawful basis for collecting and entering tenant personal data;
• Informing your tenants that their data is managed via Pangisa;
• Responding to any requests from tenants to access, correct, or delete their data; and
• Ensuring the accuracy of the data you enter.

The tenant self-service portal is accessed via a private, token-based link. You are responsible for sharing that link only with the intended tenant.

8. Intellectual Property

Your data. All property, tenant, and payment data that you create on Pangisa remains yours. You may export your data at any time in a standard format. We will not sell, license, or otherwise exploit your data for our own commercial purposes.

Our platform. All software, design, text, and other content that forms part of the Pangisa platform is owned by us or our licensors. Nothing in these Terms grants you a licence to copy, modify, distribute, or create derivative works from any part of the platform.

Feedback. If you provide feedback or suggestions about the platform, you grant us a non-exclusive, royalty-free licence to use that feedback to improve the service.

9. Disclaimers and Limitation of Liability

Pangisa is provided "as is" and "as available". We do not warrant that the platform will be uninterrupted, error-free, or free from security vulnerabilities, though we make reasonable commercial efforts to ensure reliability and security.

No legal or tax advice. Any income summaries, demand letter content, or URA-related outputs generated by Pangisa are for informational purposes only and do not constitute legal, accounting, or tax advice. You should consult a qualified professional for advice specific to your circumstances.

To the fullest extent permitted by Ugandan law, our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the amount you paid to us in the three months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill.

10. Termination

By you. You may close your account at any time by contacting us. Upon closure we will delete your data within 30 days, subject to any retention obligations under Ugandan law. You may export your data before closing your account.

By us. We may suspend or terminate your account with immediate effect if you materially breach these Terms, if we are required to do so by law, or if continued provision of the service poses a security or legal risk. Where practicable we will give you advance notice and the opportunity to export your data.

Provisions of these Terms that by their nature should survive termination — including sections on intellectual property, liability, and governing law — shall do so.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any dispute arising out of or in connection with these Terms shall first be referred to mediation. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Kampala, Uganda.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes to the platform, applicable law, or our business practices. We will notify you of material changes by email or by a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of Pangisa after the effective date of any changes constitutes your acceptance of the updated Terms.
